Terms of Sales and Use

Pulselife provides its Services through a platform offering a range of features, including access to information on medical conditions, medicines, medical definitions and drug interactions, drafting of prescription templates, interaction with an AI Consultant, and access to a variety of medical resources. The Services of Pulselife are available on the website https://pulselife.com/, on the Pulselife Mobile Application distributed through eligible app stores, through its Desktop Application, and through its Chrome extension.

The Services of Pulselife are intended for healthcare professionals falling under Part 4 of the French Public Health Code (Code de la santé publique). Pulselife reserves the right to restrict access to any person who does not belong to this category. Certain Services, such as the AI Consultant, are designed exclusively for healthcare professionals. This tool, dedicated to searching the medical databases compiled by Pulselife, is neither a diagnostic device nor a care-management tool. Its sole purpose is to assist healthcare professionals in the course of their professional practice.

The Services are provided by 360 MEDICAL, a company registered at 2 avenue Lacassagne, 69003 Lyon, France, registered with the Lyon Trade and Companies Register (RCS) under number 799 630 942. You can contact us at contact.uk@pulselife.com.

The publication director is Grégoire PIGNE.

We encourage you to read and understand these Terms, together with any other applicable contractual documents. By accessing or using any of our Services, you agree to these Terms, which constitute an agreement between you and 360 MEDICAL.

We also invite you to read our privacy policy if you would like to learn more about how we collect, use and protect your personal data in connection with the provision of the Services.

The AI Consultant may be made available in a restricted version on the Pulselife website, as well as to Clients who hold a Subscription. The AI Consultant forms part of the Services.

2. Purpose

These Terms set out the roles and obligations of the User and of 360 MEDICAL at each stage of use of the Services of 360 MEDICAL, and establish the rights and responsibilities, as well as the conditions governing the User's use of the Services of 360 MEDICAL.

You are informed that the sole version of the Terms in force for the Pulselife Services is the one available online on the Website, which you acknowledge and accept without reservation. The Terms are available at: https://pulselife.com/fr-fr/legal/conditions-generales-d-utilisation.

You accept these Terms as soon as you access or use any Service provided by 360 MEDICAL.

3. Overview of the Services

Pulselife provides its Services through its Applications, the Extension, the AI Consultant and the Website. For commercial reasons, certain Services may only be offered to certain types of Client. The paid Services you have access to are indicated when you take out a Subscription.

The Services provided by Pulselife are search and information aggregation services drawing on scientifically recognised medical databases, and are intended to provide quick and easy access to medical information.

The Services include a medical search engine offering aggregated answers, clinical applications developed by expert partners, and medical monitoring.

The medical information accessible through the Services is not verified by 360 MEDICAL, which simply makes available and aggregates information from Third Parties (learned societies, health authorities, etc.), in particular through artificial intelligence tools.

The Services provided by 360 MEDICAL are not developed or marketed as medical devices within the meaning of Article L.5211-1 of the French Public Health Code, and must not be used or presented as such by Users.

3.1. Description of the Website

The Website allows Users to find out about the Services offered by Pulselife, to contact Pulselife, to log in to a User Account, and to access a limited version of the AI Consultant.

Clients may also access the Services they have subscribed to via the Website by logging in to their Account in the dedicated interface.

The features accessible through the Website are subject to change for development reasons.

3.2. Description of the AI Consultant

The AI Consultant may be made available in a restricted version on the Pulselife Website. The number of queries may be limited, and not all features may be accessible. The full version is available only to Clients who hold a Subscription. It forms an integral part of the Services provided by Pulselife.

The AI Consultant relies on artificial intelligence models, which may produce content that is inaccurate, incomplete, out of date, or that does not take into account the specific context of a given case. The responses generated therefore do not in any way constitute medical advice, a diagnosis, a prescription, or a recommendation intended to replace the judgement of a qualified healthcare professional. Use of the AI Consultant in a professional context, in particular a medical or clinical one, therefore requires systematic and documented validation by a competent professional, who remains solely responsible for the interpretation and use of the information generated.

3.3. Description of the Applications

The Mobile and Desktop Applications allow users, among other things and through an interactive platform, to consult information on medical conditions, medicines, medical definitions and drug interactions, to draft prescription templates, and to access a variety of medical resources.

The features accessible through the Applications are subject to change for development reasons.

The Mobile Application is available free of charge. However, certain advanced features provided by Pulselife, such as the AI Consultant, are only accessible under a paid Subscription taken out by the Client.

The Desktop Application allows Users to access the features developed by Pulselife as an overlay on their browsing on their devices. It is compatible with the Windows and macOS operating systems.

We recommend using the Desktop Application as an overlay on practice management software installed on your devices, so that healthcare professionals can readily access reliable sources of information during a medical consultation. This use case does not preclude any other lawful use, in compliance with these Terms, that the User may choose to carry out using the Extension.

3.4. Description of the App Creator

The App Creator is a Service that allows Clients who have subscribed to it to design and configure clinical applications without requiring any software development. This tool is a free-form creation and configuration solution operated by the Client and Users, under their exclusive control.

Applications created under the Client's control using the App Creator may be made visible to all Users (a so-called public application) or only to a restricted group of Users (a so-called private application), in accordance with the terms of the quote associated with the Client's Subscription.

Applications created through the App Creator are made available to authorised Users within their Applications and within the Extension.

3.5. Description of the Extension

The Extension allows Users to access the features developed by Pulselife as an overlay on their browsing in the Google Chrome web browser.

We recommend using the Extension as an overlay on practice management software available as SaaS through a web browser, so that healthcare professionals can readily access reliable sources of information during a medical consultation. This use case does not preclude any other lawful use, in compliance with these Terms, that the User may choose to carry out using the Extension.

The Extension is only compatible with web browsers based on the open-source Chromium technology, including Google Chrome.

4. Subscription and Payment Terms

4.1. Subscription and Payment Terms for Services Provided by Pulselife

Access to the Mobile Application and the Website is free of charge for healthcare professionals and medical students. However, the freely accessible versions may not include all the features developed by Pulselife.

The Extension, the Applications and the AI Consultant are offered on a fixed-term subscription basis, which renews automatically. The price of the Subscription is available at any time on a dedicated web page on pulselife.com.

We reserve the right to change the price of the Subscription at the end of any contractual term, subject to one month's prior notice. The price change will only take effect at the next renewal date. If you do not accept the price change, you are free to cancel by contacting us at contact@pulselife.com.

Our payment service providers allow you to use the following payment methods:

  • debit or credit card (Visa, Cartes Bancaires, Mastercard);
  • Apple Pay;
  • Google Pay;
  • PayPal.

We reserve the right to change our payment service providers and payment methods at any time.

By choosing a payment method, you acknowledge that this payment service is provided by a third-party payment service provider and not by Pulselife. We invite you to consult their contractual documentation for further information.

4.2. Specific Terms for Establishments

Access to the Services by an Establishment is subject to the prior taking out of a Subscription. The quote attached to the Subscription sets out the pricing terms, the Services subscribed to, the number of Accounts made available by Pulselife, the commitment period, and the applicable invoicing arrangements. The Subscription takes effect from the date shown on the quote.

5. Conditions of Access and Use of the Services

5.1. General Conditions of Access to the Services

To use our Services, you must create a User Account by providing the personal and/or professional practice information requested of you. Failing this, it will not be possible to open your User Account.

As access to certain Pulselife Services is strictly reserved for healthcare professionals falling under Part 4 of the French Public Health Code, Pulselife will carry out, upon each registration of a new Client, the checks necessary to verify their professional status. If it becomes apparent that a User is not a healthcare professional falling under Part 4 of the French Public Health Code (for example, if they are a patient), Pulselife will restrict the Client's access to the Services, which the Clients acknowledge and expressly accept.

The equipment (including computers, telephones, software and electronic communication means) enabling access to and use of the Services is the sole responsibility of the Client, as are the electronic communication costs (including telephone and internet access charges) arising from their use.

5.2. Specific Conditions of Access to the Services for Establishments

Healthcare establishments may make Generic Accounts available to their medical staff. These Generic Accounts are provided upon subscription to a Subscription.

A Generic Account is not assigned to a specifically named individual. However, the Establishment undertakes to ensure that each Account is used only by persons under its direct authority, including in particular its employees, permanent or contract civil servants, trainees, apprentices, or any other person expressly authorised by the Establishment within a relationship of subordination or under a mission supervised by it.

5.3. Conditions of Use of the Services

Once your Account has been created, you undertake to keep your username and password confidential and personal. We cannot be held responsible for the loss of your username and/or password. You are solely responsible for any fraudulent or other use of these credentials by third parties. If you have reason to believe that someone is using your account or your identity, you should contact us as soon as possible at contact@pulselife.com. You are strictly responsible for any use of your Account made with your credentials.

Access to the online support service is free of charge, except for any internet communication costs that may apply.

Each User may hold only one User Account.

6. Obligations of the Parties

6.1. Obligations of Users

When using our Services, you must comply with the following obligations:

  • provide only accurate and truthful information;
  • never transmit, in any form whatsoever, personal data concerning your patients (including data relating to their state of health);
  • use only generic elements (age, disease, symptom) when searching for specific information about a condition relevant to a patient;
  • not use any information covered by medical or professional confidentiality;
  • not disrupt or hinder other Users' use of the Services;
  • protect your credentials and maintain their confidentiality;
  • not use the Services for commercial, advertising, marketing or promotional purposes;
  • not disseminate unlawful content or information contrary to public order and public morals;
  • check that your web browser is compatible with the open-source Chromium technology before taking out a Subscription to the Extension;
  • use the Services only in compliance with all applicable regulations;
  • Establishments undertake to bring these Terms and Pulselife's privacy policy, available at https://pulselife.com/fr-fr/legal/confidentialite, to the attention of their staff who are to use the Services provided by Pulselife through their Generic Accounts;
  • comply with all obligations arising under these Terms.

6.2. Obligations of 360 MEDICAL

Clients are informed that pharmaceutical laboratories may contribute to the provision of medical resources and Content to Users in exchange for financial consideration. 360 MEDICAL undertakes to inform Clients whenever this is the case.

360 MEDICAL undertakes to ensure that the Services comply with applicable French regulations and the French rules of medical ethics.

360 MEDICAL makes commercially reasonable efforts to ensure that the Services are available 24 hours a day, seven days a week, subject to force majeure and maintenance periods.

360 MEDICAL reserves the right to suspend the provision of the Services at any time, without notice, for technical, commercial or legal reasons, without this giving rise to any compensation or entitlement for Clients.

7. Liability

7.1. Liability of 360 MEDICAL

360 MEDICAL gives no guarantee as to the availability or response times of its Services.

360 MEDICAL gives no guarantee as to the accuracy or completeness of the information made available through its Services. Clients are informed and accept that medical information is complex and changes regularly, which precludes any such guarantee.

360 MEDICAL reminds you that its Services are not a medical device and, accordingly, the Services do not provide personalised recommendations concerning a patient's condition.

Clients are invited to report any error in the information provided by the Services to 360 MEDICAL by email at contact@pulselife.com.

360 MEDICAL may direct you, from its Services, to services or content of Third Parties, without this implying any endorsement or verification of such services or content by 360 MEDICAL. 360 MEDICAL reserves the right to remove access to such Third Party services at any time. 360 MEDICAL reminds the User that these Third Party services or content are subject to their own terms of use and contractual documentation.

7.2. Responsibility of Clients and Users

The Client and the User are responsible for verifying the information provided by the Services. They are solely responsible for any decision, diagnosis, treatment, prescription and/or care plan made following use of the Services. They are therefore solely responsible for their use of the Services and alone assess their relevance.

8. Intellectual Property

8.1. Ownership by 360 MEDICAL

The design, layout, text, graphics, software, underlying technology, logos, trade marks and all other protected elements of the Services provided by Pulselife are the exclusive property of 360 MEDICAL and are protected by Intellectual Property Rights.

Subject to compliance with these Terms, you are granted a limited, non-exclusive, revocable and non-transferable licence to access and use the Services for your professional needs as a healthcare professional.

This licence is granted for the duration of your access to the Services and does not give you any right to commercially exploit, reproduce, modify, distribute, copy, reverse engineer, or create derivative works based on all or any part of the elements protected by Intellectual Property Rights.

8.2. Ownership by Clients

When using the AI Consultant, the App Creator or any other Service, the Client and/or the User retain the intellectual property rights they hold in:

  • the content, data, documents, resources and information that they import, submit or integrate into the Services;
  • the results, content, outputs or information generated, configured or obtained through their use of the Services;
  • the applications, settings, structures, interfaces, business logic or configurations that they design or generate using the tools made available to them,

provided that these elements are, in themselves, legally protectable under intellectual property rights.

Where these elements are covered by intellectual property rights, the Client grants 360 MEDICAL a worldwide, non-exclusive, royalty-free, revocable and non-transferable licence to:

  • host, store, process, analyse, reproduce and display these elements;
  • for the purposes of performing, maintaining, improving and providing the Services;

for the duration of the performance of these Terms, plus, where applicable, a period of 10 years for public applications created through the App Creator, and any statutory period required for applicable archiving or retention obligations.

The Client warrants that it holds all the rights and authorisations necessary to grant this licence, and undertakes to indemnify 360 MEDICAL against any third-party claim based on an alleged infringement of intellectual property rights relating to the content it provides or generates through the Services.

8.3. Rights of Third Parties

Third Party content made available as part of the Services, in particular recommendations from institutions, scientific journals, or content written by learned societies, remains the exclusive property of its respective authors and is distributed by 360 MEDICAL or its partners with the permission of the holders of the above rights.

8.4. Infringement / Scraping

360 MEDICAL objects to any collection and any text and data mining operation within the meaning of Article L.122-5-3 of the French Intellectual Property Code. This objection covers all the Services.

All acts of collecting and mining texts and data targeting the Services of 360 MEDICAL and their Content, including by automated data collection systems, therefore constitute acts of infringement unless specifically agreed in writing.

To facilitate the reading of this right of objection by any automated data collection system, this objection is also expressed in the following form: <TDM-RESERVATION: 1>.

More generally, any reproduction, representation, distribution or redistribution, in whole or in part, of the content, trade marks, logos, photos, images, texts and original content accessible through the Services provided by Pulselife, by any means whatsoever, without the express prior authorisation of 360 MEDICAL and/or, where applicable, the holders of the intellectual property rights, is prohibited and would constitute infringement under applicable law.

In particular, the following notice must appear on any authorised copy of all or part of the content of the Website: "COPYRIGHT 360 MEDICAL ALL RIGHTS RESERVED". Any authorised use of the elements comprising or appearing in and on the Website must be made without distortion, modification or alteration of any kind.

9. Non-Waiver

The fact that 360 MEDICAL does not rely on a failure or breach by the User of any of its contractual or legal obligations shall not be interpreted as a waiver of the right to rely on that failure or breach.

The fact that 360 MEDICAL does not rely on any provision of these Terms does not in any way constitute a waiver of the benefit of that provision.

10. Amendments to the Terms

360 MEDICAL reserves the right to amend and supplement these Terms at any time, subject to 15 days' prior notice. If you continue to use the Services after the end of the 15-day notice period, the new version of the Terms will apply to you and be binding upon you. We therefore invite you to review any updates to these conditions when they are made. You will be informed by email or by notification within the Services (for example, by a pop-up window) of any material change to the Terms.

11. Termination

11.1. Termination for Convenience

You may delete your User Account at any time by contacting us at contact.uk@pulselife.com. However, where you use the Services provided through the Extension, the subscription period that has begun (for example one month or one year) remains payable, and termination takes effect at the end of the contractual term.

11.2. Termination for Breach

In the event of a breach by the Client and/or the User of any of their contractual obligations under these Terms, 360 MEDICAL may send them a written notice describing the breach(es) identified, by any means enabling proof of delivery (in particular by email or registered letter with acknowledgement of receipt).

If the breach is not remedied within fourteen (14) calendar days of receipt of this notice, 360 MEDICAL may terminate these Terms automatically, without any judicial formality being required, and without prejudice to any damages to which it may be entitled.

Termination under this clause results in:

  • the immediate cessation of access to the Services by the Client and all of its authorised Users;
  • the immediate payability of any amount still owed to 360 MEDICAL under these Terms.

Sums already paid by the Client under the Subscription shall remain definitively acquired by 360 MEDICAL and shall not be refundable, which the Client acknowledges and expressly accepts.

12. Governing Law and Competent Court

These Terms are governed by French law.

Where the User is a natural and/or legal person using the Services in a professional capacity, we undertake to attempt to resolve any dispute through prior amicable resolution.

To this end, the party wishing to initiate amicable resolution shall notify the other party of its intention by registered letter with acknowledgement of receipt or by email to contact@pulselife.com, specifying the subject of the dispute and the claims and grounds of its complaint. Upon receipt of this notification, the parties shall have a minimum period of one (1) month to attempt to reach an amicable agreement.

During this period, the parties undertake to cooperate in good faith and to make the necessary efforts to reach a common solution. If negotiations fail at the end of this one-month period, each party shall regain its freedom of action and may initiate the legal proceedings of its choice.

Any legal action brought without complying with this prior amicable resolution procedure shall be deemed inadmissible by the competent courts, except in the case of interim or urgent measures.

The courts competent to hear all disputes of whatever nature (contractual, tortious, etc.) arising from the performance, interpretation or termination of these Terms are those within the jurisdiction of the Court of Appeal of Lyon.
